ClinicDesk, Inc. (“ClinicDesk,” “we,” “us,” or “our”) provides AI‑powered tools to help outpatient clinics with medical coding, claims, and revenue cycle workflows (the “Services”). These Terms of Service (“Terms”) govern your use of clinicdesk.com and all related Services.
We may update these Terms from time to time. When we do, we will update the “Last updated” date above and, where required by law, provide additional notice. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of a clinic or other entity, you represent that you are authorized to bind that entity and “you” refers to that entity. If you do not agree to these Terms, do not use the Services.
These Terms are governed by the laws of the State of [State], without regard to conflict‑of‑law rules. Any dispute arising out of or relating to the Services or these Terms will be brought exclusively in the state or federal courts located in [County, State], and you consent to their jurisdiction and venue.
You must be at least 18 years old and legally able to enter into a contract to use the Services. You agree to provide accurate account information and to keep your login credentials confidential. You are responsible for all activity under your account and must notify us promptly of any unauthorized use.
To the extent permitted by law, you agree to indemnify and hold harmless ClinicDesk and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your clinics’ coding, billing, or clinical decisions.
ClinicDesk provides tools that assist with medical coding, claims management, and related workflows. We do not provide medical care, medical advice, legal advice, or guarantee reimbursement.
All outputs and recommendations are for informational and operational support only. They do not replace professional medical judgment, independent coding judgment, payer guidance, or legal compliance obligations. You are solely responsible for clinical decisions, final coding and billing choices, and all claims submitted to payers.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO CLINICDESK FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE LIMITS MAY NOT APPLY TO YOU IN FULL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINICDESK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
Access to the Services may require a subscription, implementation fee, or per‑claim fee, as described on our pricing page or in an order form. You agree to pay all applicable fees and any taxes (excluding taxes based on our net income).
Unless stated otherwise, fees are non‑refundable and may be charged automatically on a recurring basis (for example, monthly). We may change pricing prospectively by giving notice before the start of your next billing period.
WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE OR UNINTERRUPTED, OR THAT ANY CODING OUTPUTS OR RECOMMENDATIONS WILL BE ACCURATE, COMPLETE, OR SUFFICIENT TO ENSURE REIMBURSEMENT OR REGULATORY COMPLIANCE. YOU ARE SOLELY RESPONSIBLE FOR VALIDATING ALL CODING, BILLING, AND CLAIMS.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.
You agree not to, and not to allow others to:
We may monitor use of the Services to maintain quality and confirm compliance with these Terms.
Upon termination, your right to use the Services ends. We may retain or delete data in accordance with our legal obligations and any separate agreement with you.
We may suspend or terminate your access to the Services if you violate these Terms, fail to pay fees, create a security or legal risk, or if we are required to do so by law. You may stop using the Services at any time.
You retain all rights to the data you submit to the Services (“Customer Data”). You grant ClinicDesk a limited, non‑exclusive license to host, process, and use Customer Data as needed to provide and improve the Services and to comply with law.
If you submit protected health information (PHI) and we have a Business Associate Agreement (BAA) with you, we will handle PHI in accordance with that BAA. If these Terms conflict with a signed BAA regarding PHI, the BAA controls for PHI.
We aim to keep the Services available but do not guarantee uninterrupted or error‑free operation. We may modify, suspend, or discontinue all or part of the Services at any time. If we make a material change that significantly reduces core functionality, we will use reasonable efforts to provide advance notice.
Our handling of personal information is described in our Privacy Policy. We implement safeguards to help protect your data, but no system is completely secure and you use the Services at your own risk.
